NO ENTRY FEE. NO PURCHASE OR OBLIGATION NECESSARY TO PLAY OR WIN. MANY WILL ENTER; FEW WILL WIN.

BSG/Girl Authority CONTEST OFFICIAL RULES

1. Eligibility: BSG/Girl Authority Songwriter Contest from Girl Authority and Beacon Street Girls (“the Contest”) is open to legal residents of the U.S. (excluding Puerto Rico or wherever otherwise void), age 18 or younger, who have entered the contest through the mail through a valid physical entry. Employees of B*tween Productions, the Sponsor and its parent company, affiliates, subsidiaries, advertising, promotion, and fulfillment agencies, immediate family members and persons living in their same household are not eligible to participate in the Contest. Participation in the Contest constitutes entrant’s full and unconditional agreement to and acceptance of these Official Rules & Regulations (“Official Rules”). VOID WHERE PROHIBITED.
2. To Enter: You may enter the Contest by submitting an entry through the mail. All necessary materials must be sent with the attached Official Entry Form.

(b) To enter by mail without obligation, send contest entry form and song lyrics to: BSG/Girl Authority Songwriter Contest; B*tween Productions, Inc.; 1666 Massachusetts Avenue, Suite 17; Lexington, MA 02420. Mail-in entries must be postmarked by June 1, 2008 and be received no later than 7 days after contest end date. No mechanically reproduced mail-in entries are allowed and any use of robotic, automatic, programmed or the like entry methods will void all such entries by such methods. Only one entry per person is permitted, regardless of the method of entry. Entrants submitting multiple entries or violating any of these Official Rules may be disqualified.

3. Prize Awarding: All Contest entries meeting the requirements of these Official Rules will be judged on or around June 15, 2008. The judges will consider all eligible entries received and the selection is final and binding. One (1) Winner and three Runners-up will be selected from among all eligible entries received. Parents of the Winner and Runners-up will be notified by e-mail or telephone. Odds of winning depend on the number of total submissions. Many will enter; few will win. The judges will evaluate the entries based on 4 criteria: originally of song (25%); clarity of message (25%); appropriateness of theme and topic (25%); and tween-girl appeal, as judged by the Rounder Records/Girl Authority management team (25%).

4. Prizes: One Winner will have her song recorded by Girl Authority, and the song will be featured on the Beacon Street Girls and Girl Authority web sites. In addition, the Winner’s lyrics and the lyrics written by the Runners-up will be published on the Beacon Street Girls and the Girl Authority web sites. The first name only, age, grade, state, and country of the Winner and Runners-up will also be published. Last name, address, and email address will not be published. Additionally, the Winner will receive an assortment of Girl Authority merchandise and BSG products valued at $120. Prizes will also be awarded to the three Runners-up (a variety of Beacon Street Girls products and Girl Authority merchandise, valued at no less than $50). Odds of winning depend on the number of entries. Many will enter; few will win.

5. Notification of Winners: The parents of the Winner and Runners-up will be notified by email or telephone within five (5) business days of the prize awarding. If a selected Winner cannot be contacted, is ineligible, fails to claim a prize, and/or where applicable an affidavit of eligibility and publicity/liability release is not received in a timely manner or is incomplete or modified, the prize will be forfeited. In the event of a dispute regarding who submitted an entry, the entry will be deemed submitted by the person whose name and address is specified in the entry.

6. General Rules: By entering, you agree to be bound by these Official Rules. The Contest is offered by the Sponsor, Girl Authority, in conjunction with B*tween Productions, Inc., home of the Beacon Street Girls. Sponsor is not responsible for late, lost, delayed, damaged, postage-due, incomplete, illegible, or misdirected entries, responses, or other correspondence, whether by e-mail or postal mail or otherwise, or for theft or destruction or unauthorized access or alterations of entry materials, phone, electrical, network, computer, hardware, software program or transmission malfunctions, failures or difficulties. By participating and winning a prize, a winner releases Sponsor, its parent, affiliates, subsidiaries, directors, officers, employees, sponsors, and agents, including advertising and promotion agencies, from any and all liability with respect to the Contest or the acceptance, possession or use of any prize, including without limitation (i) any condition caused by events beyond Sponsor’s control that may cause the Contest to be disrupted or corrupted; (ii) any injuries, losses, or damages (compensatory, direct, incidental, consequential or otherwise) of any kind arising in connection with or as a result of the prize, or acceptance, possession, or use of the prize, or from participation in the Contest; and (iii) any printing or typographical errors in any materials associated with the Contest. Sponsor’s decisions in all respects relative to the Contest are final. Sponsor reserves the right, in its sole discretion, to cancel, modify or suspend the Contest in whole or in part, in the event of fraud, technical or other difficulties or if the integrity of the Contest is compromised, without liability to the entrant. Sponsor reserves the right to disqualify any Winner, as determined by Sponsor in its sole discretion. The Winner is responsible for paying any income taxes on the value of the prize received. Void where prohibited or restricted by law. All federal, state, provincial and local regulations apply.

7. Additional Conditions: Except where prohibited, by accepting any prize, Winner consents to the use of her/his name, photo and/or likeness, biographical information, winning entry and statements attributed to Winner (if true) for advertising and promotional purposes without additional compensation. All entries become property of Sponsors and none will be acknowledged or returned. Allow 6-8 weeks for delivery of prizes.

By entering Song Lyrics into the Contest, participant hereby agrees to comply with the terms and conditions stated herein and irrevocably grants to Sponsors the worldwide, royalty-free, non-exclusive, unconditional, perpetual and transferable license and right to reproduce, encode, store, modify, copy, transmit, publish, post, broadcast, display, publicly perform, adapt, exhibit and otherwise use or reuse, the participant's Song, in whole or in part, as well as participant's name, throughout the universe, in any and all media, now known or hereafter devised, alone or as part of other material of any kind or nature. Without limiting the foregoing, Sponsors shall have the right to use and change the Song in any manner that Sponsors may determine. Additionally, participant irrevocably grants to Sponsors the license to authorize users to access, rate and review participant's Song through the Beacon Street Girls and Girl Authority web sites and to permit users to send and distribute the Song via email or instant messenger.

Participant irrevocably grants to Sponsors and their respective affiliates, legal representatives, assigns, agents and licensees, the worldwide, royalty-free, non-exclusive, sublicensable, unconditional, perpetual and transferable right and license to use the Song for advertising, promotional or commercial purposes, including without limitation, the right to publicly display, perform, reproduce and distribute the Song in any media format or medium and through any media channels.

Participant forever waives any rights of privacy, intellectual property rights and any other legal or moral rights that may preclude Sponsors’ use of the participant’s Song or require participant’s permission for Sponsors to use the Song for promotional purposes and agrees to never sue or assert any claim against Sponsors’ use of the song.
Participant acknowledges and agrees that (a) Sponsors have access to and/or may create or have created literary, film, tape and/or other materials, ideas and concepts which may be similar or identical to the Song in theme, idea, plot, format, characters and/or other respects; (b) the participant will not be entitled to any compensation or other consideration because of use by Sponsors of any such similar or identical material, ideas and/or concepts; and (c) Sponsors’ use of material containing elements similar or identical to those contained in the Song shall not obligate Sponsors to negotiate with nor entitle participant to any compensation or other claim.

8. Winners List, Official Rules: For a list of prize winners or a copy of these Official Rules, send your request and a stamped, self-addressed envelope postmarked by December 31, 2008 to BSG/Girl Authority Songwriter Contest; B*tween Productions, Inc.; 1666 Massachusetts Avenue, Suite 17; Lexington, MA 02420 or (for Winners List only) send an email message by December 31, 2008 to mediarelations@btweenproductios.com with “Winners list: BSG/Girl Authority Songwriter Contest” as the email subject and contest name specified in the body of the email.
